Terms and Conditions for Onboard Courier Companies

These Terms and Conditions ("Terms") govern the relationship between Ruru Logistics ("Ruru,") and your organization onboarded to the Ruru mobile application ("App"). By registering and operating on the Ruru App, you agree to be bound by these Terms.

1. Acceptance of Terms

By registering your Courier Company on the Ruru App, you affirm that you have the legal authority to enter into this agreement and that your company is duly registered and authorized to operate courier and logistics services within Nigeria.

You acknowledge that Ruru acts solely as a technology platform connecting you with users seeking parcel delivery services. Ruru is not a logistics or courier service provider itself and does not employ your riders.

2. Registration and Onboarding

You agree to provide accurate, complete, and current information during the registration and onboarding process, including but not limited to company registration details, operational licenses, fleet information, and rider details.

You must promptly update any changes to your company information, rider details, or operational capabilities.

Ruru reserves the right to approve or reject any Courier Company's application at its sole discretion, or to suspend or terminate an existing account if any information provided is found to be false, misleading, or incomplete, or if you violate these Terms.

3. Service Standards and Performance

Parcel Handling and Safety: You are solely responsible for the safe and secure handling, transportation, and delivery of all parcels accepted through the Ruru App. This includes appropriate packaging advice to customers (where applicable), careful loading and unloading, and securing parcels during transit.

Timely Deliveries: You commit to accepting and completing delivery requests in a timely and efficient manner, adhering to the estimated delivery times communicated through the App.

Proof of Delivery: You must ensure your riders confirm clear and verifiable proof of delivery for every completed order, as required by the App (inputting delivery tracking code to the space provided).

Prohibited Items: You and your riders must adhere strictly to Ruru's list of prohibited items. If a rider identifies a prohibited item, they must refuse to transport it and immediately notify Ruru.

Operational Hours: You will clearly communicate your operational hours and service availability through the App.

4. Rider Management and Training

Rider Vetting: You are solely responsible for thoroughly vetting all your riders, including conducting comprehensive background checks, verifying their identities, and ensuring they possess valid driver's licenses and necessary permits to operate in Nigeria.

Training and Professionalism: You must ensure that all your riders are adequately trained in:

  • Safe driving practices and adherence to all traffic laws.
  • Proper parcel handling techniques to prevent damage.
  • Customer service excellence, including polite communication, professionalism, and dispute resolution.
  • Effective use of the Ruru App for accepting requests, navigation, and obtaining proof of delivery.
  • Security protocols for protecting parcels against theft or loss.

Rider Conduct: You are responsible for the conduct and professionalism of your riders while they are fulfilling requests through the Ruru App. Any misconduct, unprofessional behavior, or engagement in illegal activities by your riders may lead to termination of your Courier Company's account after thorough investigation.

Compliance: You must ensure your riders comply with all applicable local, state, and federal laws and regulations, including those related to transportation, licensing, and safety.

5. Financials and Payments

Service Fees: Ruru will deduct a service fee or commission from each successfully completed delivery booked through the App. The applicable fees and payment terms will be clearly communicated and agreed upon during your onboarding.

Payment Cycles: Payouts for completed deliveries (minus Ruru's service fees) will be processed within 48 hours of the completed delivery.

Dispute Resolution (Charges): In case of any discrepancies in charges or payments, you must notify Ruru within 48 hours of the transaction appearing on your statement.

6. Insurance and Liability

6.1. Your Primary Liability: You acknowledge and agree that you are the primary party responsible for any loss, damage, theft, or delay of parcels while in your or your riders' custody.

6.2. Insurance: You must maintain adequate and valid insurance policies, including but not limited to, third-party liability insurance, goods-in-transit insurance, and vehicle insurance sufficient to cover potential risks associated with courier operations in Nigeria. You agree to provide proof of such insurance upon Ruru's request.

6.3. Indemnification: You agree to indemnify and hold Ruru, its affiliates, officers, directors, employees, and agents harmless from any and all claims, demands, losses, liabilities, and expenses (including legal fees) arising out of or in connection with:
a) Your provision of courier services through the App, including any acts or omissions of your riders.
b) Your breach or violation of any of these Terms.
c) Your violation of the rights of any third party, including customers and other courier companies.

7. Use of Ruru App and Data

7.1. App Usage: You and your riders are granted a limited, non-exclusive, non-transferable license to use the Ruru App solely for the purpose of accepting and fulfilling delivery requests.

7.2. Data Privacy: You agree to handle all customer data accessed through the App in strict compliance with the Nigeria Data Protection Act (NDPA) and Ruru's Privacy Policy. You must not use customer data for any purpose other than fulfilling the specific delivery request.

7.3. Confidentiality: You agree to keep confidential all non-public information obtained from Ruru or its users.

8. Termination

8.1. Termination by Ruru: Ruru may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

8.2. Termination by Courier Company: You may terminate your agreement with Ruru by providing 14 days’ written notice, provided all outstanding deliveries and financial obligations are settled.

8.3. Effect of Termination: Upon termination, your right to use the App will immediately cease. All outstanding financial obligations will become immediately due.

9. Governing Law and Dispute Resolution

9.1. These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

9.2. Any dispute, controversy, or claim arising out of or relating to these Terms, including the breach, termination, or invalidity thereof, shall first be resolved amicably through good-faith negotiation. If negotiation fails, the dispute shall be submitted to mediation. If mediation fails, the dispute shall be finally settled by mediation at the Lagos Multi-Door Court House, which shall provide a mediator from its body of neutrals. In the event that the dispute is not resolved by mediation within 60 days, the High Court of Lagos State shall assume jurisdiction over the dispute.

10. Miscellaneous

10.1. Entire Agreement: These Terms constitute the entire agreement between you and Ruru regarding the use of the App and supersede all prior and contemporaneous understandings.

10.2. Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

10.3. No Partnership: Nothing in these Terms shall be construed as creating a partnership, joint venture, employment, or agency relationship between Ruru and the Courier Company or its riders.
